1. Introduction

These Terms and Conditions ("Terms") govern the use of services provided by Athenys Ai, including AI consulting, automation systems, and workflow engineering engagements. By engaging Athenys Ai, you agree to these Terms.

2. Services

Athenys Ai provides AI-related professional services including:

• AI Opportunity Audits and assessments

• AI-Powered Workflow design and automation

• AI Agent and LLM-based application development

• Embedded AI Leadership

• AI Team Training and enablement

All services are delivered under a mutually agreed Statement of Work ("SOW") or proposal document.

3. AI System Disclaimers

Client acknowledges and agrees that:

• AI systems are probabilistic and may produce inaccurate, incomplete, or inconsistent outputs

• Outputs must be reviewed and validated before operational use

• Athenys Ai does not guarantee specific business, financial, or operational outcomes

• AI systems may depend on third-party infrastructure outside of our control

4. No Professional Advice

AI outputs and consulting deliverables do not constitute legal, financial, medical, or regulatory advice. Clients are solely responsible for their business decisions.

5. Client Responsibilities

Clients agree to:

• Provide lawful, accurate, and necessary data for project execution

• Ensure compliance with applicable laws and industry regulations

• Review and approve deliverables prior to deployment in production environments

6. Intellectual Property

Unless otherwise stated in an SOW:

• Clients retain ownership of their proprietary data and business inputs

• Athenys Ai retains ownership of pre-existing frameworks, methodologies, tools, and reusable components

• Upon full payment, clients receive a perpetual internal-use license to delivered project outputs

• Clients may not resell, redistribute, or commercialize Athenys Ai frameworks without explicit written consent

7. Third-Party Services

Our services may depend on third-party platforms including AI APIs, cloud infrastructure, and software tools. Athenys Ai is not responsible for outages, modifications, or failures of third-party systems.

8. Payment Terms

Payment terms are defined in the applicable SOW or invoice. Unless otherwise specified:

• Payments are due upon receipt or by agreed milestone dates

• Late payments may result in suspension of services

• All fees are non-refundable unless explicitly stated otherwise in writing

• Billing is processed through payment processors as agreed at time of engagement

9. Termination

Either party may terminate an engagement with a minimum of 14 days written notice. Upon termination:

• Client is responsible for payment of all work completed through the termination date

• Access to systems, tools, or deliverables may be suspended until outstanding balances are settled

10. Confidentiality

Both parties agree to maintain strict confidentiality regarding non-public technical, business, and operational information shared during an engagement. Confidential information will not be disclosed except as required by law or to authorized subcontractors operating under equivalent confidentiality obligations.

11. Dispute Resolution

In the event of a dispute, both parties agree to first attempt resolution in good faith through direct negotiation within 30 days of written notice of the dispute. If the dispute cannot be resolved informally within that period, either party may pursue available legal remedies.

12. Limitation of Liability

To the maximum extent permitted by law:

• Athenys Ai shall not be liable for indirect, incidental, consequential, or punitive damages

• Total liability is strictly limited to the fees paid by the client under the specific SOW giving rise to the claim

13. Governing Law

These Terms are governed by the laws of the State of Texas, United States. Any disputes not resolved through the process in Section 11 shall be resolved in the courts of Dallas County, Texas.

14. Changes to These Terms

We may update these Terms at any time. The "Last Updated" date at the top of this page will reflect any changes. Continued use of services after updates constitutes acceptance of the revised Terms.
